Terms of Service
Effective date: April 30, 2025
1. Agreement to Terms
By engaging Hampden Technology ("Company," "we," "us," or "our") for services or by accessing our website, you ("Client") agree to be bound by these Terms of Service. If you do not agree, do not use our services.
2. Services
Hampden Technology provides custom AI automation consulting, workflow design, and implementation services for small and mid-size businesses. The specific scope of services for each engagement is defined in a written Statement of Work (SOW) or project proposal provided prior to work commencing.
We reserve the right to decline any project at our discretion.
3. Quotes and Pricing
All pricing is provided in a written quote following an initial discovery call. Quotes are valid for 30 days from the date of issue. Pricing typically consists of a one-time build fee and an optional ongoing monthly retainer for monitoring, maintenance, and support.
We do not charge hourly rates. All fees are agreed upon in writing before any work begins. We will not invoice you for work outside the agreed scope without your prior written approval.
4. Payment Terms
Payment terms are specified in each individual project proposal. Generally:
- A deposit (typically 50%) is due prior to project kickoff.
- The remaining balance is due upon delivery of the completed automation.
- Monthly retainer fees are billed at the start of each billing period.
Invoices not paid within 15 days of the due date may result in a pause of active work until payment is received.
5. Client Responsibilities
To enable us to deliver your project on time, you agree to:
- Provide timely access to the tools, platforms, and credentials necessary to build your automations.
- Designate a primary point of contact for the duration of the project.
- Review and provide feedback on deliverables within 5 business days.
- Ensure you have the right to use any data or content you provide to us.
6. Intellectual Property
Upon receipt of full payment, all custom automation workflows, code, and documentation created specifically for your project are assigned to you, the Client.
Hampden Technology retains the right to use general methodologies, techniques, and know-how developed during the project to serve other clients, provided we do not disclose your confidential information.
7. Confidentiality
We treat all client information as confidential. We will not disclose your business processes, data, or project details to third parties without your written consent, except as required by law or to operate subcontracted tools explicitly approved by you.
We are happy to execute a mutual non-disclosure agreement (NDA) upon request before any sensitive information is shared.
8. Limitation of Liability
To the fullest extent permitted by applicable law, Hampden Technology shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, or business interruption, arising from your use of our services.
Our total liability for any claim arising out of or relating to these Terms or our services shall not exceed the total fees paid by you to Hampden Technology in the three months preceding the claim.
9. Warranties and Disclaimers
We warrant that our services will be performed in a professional and workmanlike manner. We do not guarantee specific business outcomes (such as increased revenue or lead volume) as a result of our automations, as those outcomes depend on factors outside our control.
Third-party platforms (APIs, software, cloud services) may change or become unavailable. We will notify you of any such changes and work with you to adapt your automations, though additional fees may apply for significant re-work.
10. Termination
Either party may terminate an engagement with 14 days written notice. Upon termination, you are responsible for payment of all work completed and accepted up to the termination date. Any prepaid retainer fees for unused periods will be refunded on a pro-rata basis.
11. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the United States. Any disputes arising under these Terms shall be resolved through good-faith negotiation before pursuing formal legal remedies.
12. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page. Continued engagement with our services after an update constitutes acceptance of the revised Terms.
